PURCHASING A BUSINESS
If you decide to purchase an existing business, you will negotiate a purchase and sale agreement with the seller. The agreement will set forth details on a wide range of issues. It will list the assets that are included in the sale, which may include equipment and furnishings, trademarks or service marks, and the exclusive right to use the name of the business. The agreement may contain a provision prohibiting the seller from competing with you for a certain time period and in a specific geographic area. It may require the seller to provide training to you or your employees following the closing. The agreement should also contain contingencies allowing you to terminate the deal if you cannot obtain necessary licenses or permits or are unable to negotiate a satisfactory lease with the landlord.
