In my work with small businesses, I am committed to understanding each client's business and unique situation.  My goal is to help my clients' businesses to grow, balancing legal and business considerations along the way.  I negotiate and draft all types of contracts, including independent contractor agreements, employment agreements, supply contracts, agreements with subcontractors, agreements with freelancers and customer agreements.  I negotiate and draft office and retail leases and subleases, and prepare applications for state registration and federal registration of trademarks and service marks.

Clients seek my advice on all employee matters.  I advise clients on whether to designate workers as employees or independent contractors, and on why choosing the right designation is important.  I help clients to fulfill their obligations related to health insurance laws, wage and hour laws, and laws on reasonable accommodations for persons with disabilities.  I draft offers of employment and noncompetition, nonsolicitation and confidentiality agreements which meet the specific needs of each business.

 
 

YOUR CLIENT AGREEMENTS

 
 

If your business provides consulting or other types of services, you should consider having written agreements with your clients. Such agreements are tailored to the needs of your business and the type of service that your business provides. The agreement should set forth your fees, the expenses for which the client must reimburse you, and a payment schedule. It is important to describe the specific services that you are going to provide, and an estimated timeline for providing the services. In some circumstances, you may want to state what services are not included, to avoid misunderstandings later on. The agreement will provide recourse for you if your client does not pay on time, such as the right to stop working for the client. If your business produces creative works such as art or photography, the agreement may clarify the intellectual property rights belonging to your business and those belonging to the client. The agreement may contain a provision limiting your liability to the client for any alleged harm or damage resulting from the services that you provide.
